1Definitions

• "Smart Sifty", "we", "us", or "our" refers to Smart Sifty Ltd and its affiliates.
• "Platform" refers to the Smart Sifty web application, APIs, and related services.
• "User", "you", or "your" refers to any individual or entity accessing or using the Platform.
• "Content" refers to any data, including CVs, job descriptions, and other information uploaded or processed through the Platform.
• "Subscription" refers to the paid plan or licence under which you access the Platform.

2Acceptance of Terms

By creating an account, accessing the Platform, or using our services, you confirm that:

• You are at least 18 years of age
• You have the legal authority to enter into these Terms on behalf of yourself or your organisation
• You will comply with all applicable laws and regulations when using the Platform
• You have read and understood our Privacy Policy, which forms part of these Terms

3Description of Services

Smart Sifty provides an AI-powered recruitment acceleration platform that includes:

• CV analysis and scoring against job requirements
• Candidate ranking and shortlist generation
• Integration with Applicant Tracking Systems (ATS)
• Internal mobility and succession planning tools
• Compliance and audit-ready documentation features
• API access for enterprise integrations

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time with reasonable notice.

4Account Registration and Security

To use our services, you must:

• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorised access to your account
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

5Subscription and Payment

Our services are offered under various subscription tiers:

• Smart Sifty Free: Limited free tier with 100 candidate-to-job analysis runs
• Smart Sifty Basic: £15/month per user with 50 monthly runs
• Smart Sifty Business: £50/month per user with 275 monthly runs and API access
• Smart Sifty Enterprise: Custom pricing for unlimited usage and dedicated support

Payment terms, billing cycles, and refund policies are detailed in your subscription agreement. All fees are non-refundable unless otherwise specified or required by law.

6Acceptable Use Policy

When using Smart Sifty, you agree NOT to:

• Upload or process any content that is unlawful, harmful, or violates third-party rights
• Use the Platform for discriminatory hiring practices
• Attempt to reverse engineer, decompile, or extract source code from the Platform
• Share account credentials or allow unauthorised access
• Use automated tools to scrape or extract data from the Platform without authorisation
• Interfere with or disrupt the Platform's infrastructure or security
• Resell, sublicence, or redistribute the Platform without our written consent

7Intellectual Property

Our Intellectual Property: The Platform, including its design, algorithms, software, trademarks, and documentation, is owned by Smart Sifty and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose.

Your Content: You retain ownership of all Content you upload to the Platform. By uploading Content, you grant us a limited licence to process, analyse, and store that Content solely for the purpose of providing our services.

8Data Processing and GDPR Compliance

Smart Sifty acts as a data processor when handling personal data on your behalf. We comply with the General Data Protection Regulation (GDPR) and will:

• Process data only according to your documented instructions
• Implement appropriate technical and organisational security measures
• Notify you promptly of any data breaches affecting your Content
• Assist you in fulfilling data subject access requests
• Delete or return your data upon termination of services

For enterprise customers, we offer Data Processing Agreements (DPAs) upon request.

9AI and Automated Decision-Making

Smart Sifty uses artificial intelligence to analyse and score candidates. You acknowledge and agree that:

• AI-generated scores and recommendations are advisory and should be reviewed by qualified humans before making hiring decisions
• You maintain full responsibility for all employment decisions
• Our AI is designed to be bias-mitigated, but no system is perfect—regular auditing is recommended
• Candidates have the right to request human review of AI-influenced decisions under GDPR

10Service Level and Availability

We strive to maintain high availability of the Platform:

• Target Uptime: 99.9% availability for Business and Enterprise tiers
• Scheduled Maintenance: We will provide advance notice of planned downtime
• Support: Email support is available for all users; priority support for Business and Enterprise

Enterprise customers may negotiate specific Service Level Agreements (SLAs) with defined credits for downtime.

11Limitation of Liability

To the maximum extent permitted by law:

• Smart Sifty shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the Platform in the 12 months preceding the claim
• We are not liable for losses resulting from your hiring decisions, even if informed by our Platform
• We are not responsible for third-party services or integrations

12Indemnification

You agree to indemnify, defend, and hold harmless Smart Sifty, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13Termination

Either party may terminate these Terms:

• By You: At any time by cancelling your subscription and closing your account
• By Us: Immediately if you breach these Terms, or with 30 days' notice for any other reason

Upon termination, your access to the Platform will cease, and your data will be handled according to our data retention policies and your instructions.

14Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and sending an email notification. Continued use of the Platform after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform.

15Dispute Resolution

In the event of a dispute:

• Informal Resolution: We encourage you to contact us first to resolve disputes amicably
• Mediation: If informal resolution fails, parties may agree to mediation
• Jurisdiction: Any legal proceedings shall be conducted in the courts of England and Wales

16General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Smart Sifty
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign these Terms without our written consent

17Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
